Tapestry Community Capital EMD (TCCE) is recruiting experienced Directors to help establish and govern Canada’s emerging community bond marketplace.

This is a senior governance opportunity for leaders with experience in regulatory engagement, governance and oversight, compliance, and risk management. As a founding Director, you will help build the governance, risk culture, regulatory credibility, and strategic foundation required for a new organization operating in a highly regulated financial-services environment.

About Tapestry Community Capital EMD

Tapestry Community Capital EMD (TCCE) is a newly established, Canada-wide non-profit Exempt Market Dealer and the newest organization in the TREC/Tapestry family. TREC has incubated and launched several organizations that solve environmental challenges and advance community economic development in Canada: WindShare, SolarShare, and Relay Education. TCCE is developing a digital marketplace that helps mission-driven organizations raise and administer community bonds, connecting community-minded investors with high-impact projects across Canada.

Building on Tapestry Community Capital’s work supporting charities, non-profits, and co-operatives to raise community investment, TCCE is creating a compliant, scalable platform for investor onboarding, investment administration, and community bond management. TCCE’s EMD application is currently under review by the Ontario Securities Commission.

About the Role 

As a newly established entity in a highly regulated industry, TCCE needs a strong, effective Board to oversee its establishment, regulatory readiness, launch, and long-term growth. This is a volunteer board director position. 

As a Director, you will:

  • Provide independent oversight of TCCE’s mission, strategy, business model, financial sustainability, and organizational development.
  • Establish and review governance structures, Board mandates, decision rights, delegation frameworks, policies, and reporting practices appropriate to a regulated entity.
  • Oversee management’s approach to EMD registration, regulatory engagement, regulatory filings, reporting, and responses to regulatory inquiries.
  • Review and provide oversight of the organization’s compliance program, including policies, procedures, training, monitoring, escalation, and reporting.
  • Oversee TCCE’s risk-management framework, including material operational, financial, technology, cybersecurity, privacy, legal, regulatory, third-party, and reputational risks.
  • Review the effectiveness of internal controls and risk mitigations, including practices related to investor protection, records, conflicts of interest, complaints, and vendor management.
  • Prepare for and actively participate in monthly Board meetings and ad hoc discussions related to material issues, registration strategy, and emerging organizational needs.
  • Support the management and oversight of TCCE’s Executive Directors, in accordance with the Board’s governance role and approved performance-management processes.
  • Bring constructive challenge, sound judgment, professional integrity, and a commitment to TCCE’s mission and fiduciary duties.
  • Act as a thoughtful champion for responsible community investment and the broader community-finance ecosystem.


Commitment Required: 3 -4 hours per month 

  • Preparation for Board and committee meetings (2 hours per month) 
  • Participate in monthly virtual Board meetings (1 HR, with ad hoc meetings as needed to discuss timely decisions or opportunities) 
  • Additional time commitment may be required if assuming the role of Board Chair (or Vice Chair, if applicable) of one or more committees or the board.
  • Regulatory Requirement: As an EMD, TCCE Directors will be considered Permitted Individuals under National Instrument 33-109. Directors must submit Form 33-109F4 and participate in the required regulatory disclosure, background, and suitability-review processes.
    • Appointment will be conditional on completion of all required documentation and any applicable regulatory review or approval. Candidates should be prepared to disclose relevant external business activities, investments, board roles, potential conflicts of interest, and other information required for regulatory and governance purposes.

About You: 

We are seeking senior leaders with substantial experience in one or more of the following areas. Candidates do not need to bring expertise in every category; the Board is seeking a complementary mix of experience and perspectives. 

Regulatory Engagement

You may be a former securities regulator, securities lawyer, regulatory consultant, General Counsel, or senior executive from a regulated financial institution. 

You bring practical experience with securities regulation, registration processes, regulatory filings, regulatory examinations, investigations, audits, remediation, or ongoing regulator relationship management.

Compliance

You may be a Chief Compliance Officer, senior compliance leader, compliance consultant, AML professional, privacy leader, cybersecurity leader, data-governance professional, or RegTech specialist.

You have experience building, implementing, reviewing, or overseeing compliance programs in an EMD, CIRO dealer, investment firm, financial institution, payments company, or fintech.
