We are seeking a skilled clerk to join our Corporate Department in a hybrid work environment. The successful candidate will support a broad corporate-commercial practice, including share and asset purchase and sale transactions. Responsibilities include preparing transaction documents, completing searches and filings, and obtaining required government clearance certificates. Experience with Wills and Estates is considered an asset.

Key Responsibilities:

  • Prepare corporate legal documents (including incorporations, amalgamations, acquisitions, reorganizations, and amendments)
  • Conduct corporate searches and complete related filings
  • Perform minute book due diligence reviews and identify and rectify deficiencies
  • Maintain and update minute books and corporate records
  • Prepare client reports as requested
  • Input and maintain information in LEAP, Fast Company, OnCorp/E-Core, and DocuSign (or similar software)
  • Liaise with clients, accountants, and other law firms
  • Other related duties as assigned

 Required Qualifications

  • Completion of a post-secondary diploma, certificate, or university degree
  • Minimum eight (8) years of experience as a Corporate Law Clerk or in a similar corporate-commercial legal support role
  • Strong knowledge of federal and provincial corporate statutes and regulations
  • Proficiency with Microsoft Office Suite, OnCorp/E-CORE, Fast Company, DocuSign (or similar software), and legal practice management software; experience with LEAP is considered an asset
  • Excellent written and verbal communication skills
  • Ability to work independently and collaboratively as part of a team
  • Strong time-management, organizational and document/file management skills
  • Institute of Law Clerks of Ontario (ILCO) certification and/or membership in good standing is considered an asset

The ideal candidate is an experienced Corporate Law Clerk who thrives in a fast-paced environment, provides exceptional client service, and can independently manage complex corporate matters while collaborating effectively with lawyers, clients, and external professionals.

 

Expected compensation: $60,000 to $75,000 per year, based on experience, qualifications, and demonstrated expertise.
